1. Who we are & scope
Motoloop is operated by Gustavo Vargas, as named in our Imprint. These Terms govern use of the Motoloop apps, website and business console. By creating an account, claiming a business, or using the service you accept these Terms. A "Rider" is a private user; a "Business" is a user acting in the course of a trade, business or profession (Unternehmer, § 14 BGB).
2. Motoloop is a platform, not a party
Motoloop is a discovery and connection platform. It surfaces rider-friendly businesses and lets riders and businesses find and contact each other. Motoloop does not sell, provide, broker, guarantee or become a party to any product, service, booking, offer or payment between a rider and a business. All such dealings are directly between the rider and the business, on their own terms and risk; Motoloop is not responsible for their existence, content, fulfilment, quality, safety, cancellation, pricing or any dispute.
3. Rider accounts & road safety
Rider features are free. Routes, maps, navigation, ETAs, road data and place information are provided "as is" for planning and information only, may be inaccurate or out of date, and do not replace your own judgement. The rules of the road (in particular the StVO) always take precedence over any route or guidance shown. You alone are responsible for choosing and riding a route, for your safety and that of others, and for compliance with traffic and other laws. Riding is at your own risk. Subject to §11, Motoloop is not liable for accidents, injury, damage or fines arising from your riding or from reliance on route, navigation or place data.
4. Business accounts & billing
A business may claim a profile for free and may subscribe to a paid plan (Verified or Featured). Fees, per-lead charges and post-overage charges are billed via Stripe per the pricing in effect. Subscriptions renew per their cadence and may be cancelled effective at the end of the current period; the current period is not refunded. Paid 12-month commitments are additionally governed by the Business Partner Agreement. Statutory consumer withdrawal rights, where they apply, remain unaffected.
5. Business obligations
A Business is solely responsible for the accuracy, legality and up-to-dateness of its profile, catalogue, offers, posts, prices and any content it publishes, and for its own dealings with riders — including its own compliance with consumer-protection, price-indication, advertising, tax and other law. The Business represents that it acts as a business (Unternehmer, § 14 BGB) and not as a consumer; accordingly the statutory 14-day consumer right of withdrawal does not apply to its subscription. The Business must not publish unlawful, misleading, infringing or fraudulent content or offers.
6. Leads, analytics & results
Motoloop connects riders and businesses but does not guarantee any number of profile views, leads, bookings, customers, revenue or return on spend. Rider-intent analytics are aggregated and informational only, provided without warranty as to accuracy, and must not be relied on as the sole basis for business decisions. A "lead" is an introduction, not a guaranteed customer or sale.
7. Acceptable use
No unlawful, harmful, infringing or fraudulent content; no scraping, reverse engineering, automated access, abuse of rider-intent signals, or attempts to re-identify or contact riders outside the intended flow. We may remove content and suspend or terminate accounts that breach these Terms (see §14).
8. Content & intellectual property
You keep ownership of content you create and grant Motoloop a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and use it within the service (including placement and recommendation surfaces and in aggregated or anonymised form, including after termination). You warrant you hold all rights to what you upload. Motoloop retains all rights in the platform, brand, and its matching and placement methodology.
9. Availability
The service is provided "as available." Motoloop does not warrant uninterrupted, timely, secure or error-free operation and does not guarantee any uptime. We may modify, restrict, suspend or discontinue features or the service, and perform maintenance, without liability, subject to §11.
10. Disclaimer of warranties
To the maximum extent permitted by law, the service and all data and content provided through it are provided "as is" and "as available" without warranties of any kind (including fitness for a particular purpose, accuracy, or non-infringement). This does not affect §11 or any mandatory statutory warranty that cannot be excluded.
11. Liability
Motoloop is liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory statutory liability (e.g. the Product Liability Act; Art. 82 GDPR). For slight negligence Motoloop is liable only for breach of essential contractual obligations (Kardinalpflichten) and then only for foreseeable, contract-typical damage. Liability for loss of data is limited to the typical recovery cost that would have arisen had the data been backed up appropriately. All other liability is excluded.
12. Additional terms for business customers
For Businesses (Unternehmer), and to the extent permitted by law: (a) Motoloop's total aggregate liability for slight negligence in any 12-month period is capped at the fees the Business actually paid to Motoloop in the preceding 12 months; (b) Motoloop is not liable for indirect or consequential damage, lost profit, lost revenue or lost goodwill in cases of slight negligence; (c) claims for defects lapse after 12 months and the commercial duty to inspect and give notice of defects (§ 377 HGB) applies; (d) the Business may set off only undisputed or finally adjudicated claims. §11 (intent, gross negligence, life, body or health, mandatory law) is unaffected.
13. Indemnification
You will indemnify and hold Motoloop harmless from third-party claims, and reasonable legal costs, arising from your content, your offers or dealings with riders, your breach of these Terms, or your violation of law, to the extent caused by you. This applies in particular to Businesses in respect of their profiles, catalogue, offers, posts and rider transactions.
14. Suspension & termination
You may stop using the service and delete your account at any time, subject to paid-plan commitments. Motoloop may suspend or terminate access, remove content, or withdraw a business listing with immediate effect for good cause (e.g. breach of these Terms, unlawful conduct, non-payment, or risk to the platform or its users), and otherwise on reasonable notice. Accrued paid-plan obligations survive termination.
15. Force majeure
Motoloop is not liable for failure or delay caused by events beyond its reasonable control, such as outages of hosting, mapping, routing or payment providers, internet failures, cyber-attacks, strikes, or acts of authority.
16. Changes
We may update these Terms; material changes will be notified in-app or by email with reasonable advance notice, and continued use after the effective date is acceptance. For existing paid subscribers, changes take effect at the next renewal where required.
17. Third-party services
Maps, routing, payments and delivery rely on third-party providers with their own terms; Motoloop is not responsible for those services.
18. Data protection
Personal data is processed under our Privacy Policy. Where a Business receives a rider's personal data via a lead, the Business is an independent controller for its own use of that data and must comply with the GDPR in its own right.
19. Governing law, venue & severability
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory consumer-protection provisions of a consumer's country of residence remain unaffected. For merchants, legal persons under public law and special funds, the exclusive place of jurisdiction is the seat of Motoloop (§ 38 ZPO); the same applies if the customer has no general place of jurisdiction in Germany. Should any provision be or become invalid, the remaining provisions stay in force.
